In September 2024, the boards of NewRiver REIT and Capital & Regional announced that agreement had been reached in respect of the acquisition of Capital & Regional by NewRiver by way of a recommended cash and share offer.  A prospectus was published in October 2024 in relation to the issue of consideration shares for the acquisition.  The consideration shares were admitted to trading in December 2024.

The transaction creates a combined group with a portfolio focused on community shopping centres and retail parks valued at c£0.9bn.

BDO undertook financial and tax due diligence on Capital & Regional and acted as reporting accountant in respect of the combined circular and prospectus prepared in respect of the transaction.
